Allotment of Corporate Identity Number. \n<\/p>\n\n\n\n<p>\n  12 Documents of Incorporation to be preserved (Section 7(4))\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Application_for_Availability_of_Name\"><\/span><strong>Application for Availability of Name :-<\/strong> <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A person may make an application, in such form and manner and accompanied by such fee, as may be prescribed, to the Registrar for the reservation of a name set out in the application as  <\/p>\n\n\n\n<p>\n  (a) the name of the proposed company (for new company); <strong>or<\/strong>,\n<\/p>\n\n\n\n<p>   (b) the name to which the company proposes to change its name (for existing company) <\/p>\n\n\n\n<p><strong>   Section 4(2) :-<\/strong> The name should not be identical with or resemble too nearly to the name of an existing company registered under this Act or any previous company law; <strong>or<\/strong>  <\/p>\n\n\n\n<p>\n  (b) be such that its use by the company\u2014 \n<\/p>\n\n\n\n<p>\n  (i) will constitute an offence under any law for the time being in force; <strong>or<\/strong> (ii) is undesirable in the opinion of the Central Government.\n<\/p>\n\n\n\n<p>\n  The object is to prevent the use of a name likely to mislead the public. For eg , a company is not allowed to use a name which is prohibited under the Emblems and Names (Prevention of Improper Use) Act, 1950.\n<\/p>\n\n\n\n<p><strong>   According to section 4(3)<\/strong>,  Without prejudice to the provisions of sub-section (2), a company shall not be registered with a name which contains\u2014  <\/p>\n\n\n\n<p>\n  (a) any word or expression which is likely to give the impression that the company is in any way connected with, or having the patronage(\u0938\u0902\u0930\u0915\u094d\u0937\u0923) of, the Central Government, any State Government, or any local authority, corporation or body constituted by the Central Government or any State Government under any law for the time being in force; or \n<\/p>\n\n\n\n<p>   (b) such word or expression, as may be prescribed, unless the previous approval of the Central Government has been obtained for the use of any such word or expression. (For eg the words like, \u2018national\u2019, \u2018bank\u2019, \u2018Exchange\u2019 or \u2018Stock Exchange\u2019 \u2018Republic\u2019, \u2018Central\u2019, \u2018Union\u2019 etc) <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Preparation_of_Memorandum_and_Articles_of_Association\"><\/span><strong>Preparation of Memorandum and Articles of Association<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  The MoA &amp; AoA are the very imporatant documents in the formation of Company. They are the charter of a company. Section 4 &amp; 5 deals regarding the contents of these two important documents. \n<\/p>\n\n\n\n<p>\n  The MoA &amp; AoA should be as per the provisions of section 4 &amp; 5.\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Filing_of_Documents_with_Registrar_of_Companies_Section_71\"><\/span><strong>Filing of Documents with Registrar of Companies<\/strong> (Section 7(1)) <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  The following documents and information for registration shall be filed with the Registrar within whose jurisdiction the registered office of a company is proposed to be situated :\n<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\n<ol class=\"wp-block-list\">\n<li>Application for Incorporation of Companies              <\/li>\n\n\n\n<li>Memorandum and Articles of Association of the Company duly signed by all the subscribers to the memorandum in such manner as may be prescribed.             <\/li>\n<\/ol>\n<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Declaration_from_the_Professional_Section_71b\"><\/span><strong>Declaration from the Professional<\/strong> (Section 7(1)(b)) <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  A declaration in the prescribed form by an advocate, a chartered accountant, cost accountant or company secretary in practice, who is engaged in the formation of the company, and, \n<\/p>\n\n\n\n<p>\n  by a person named in the articles as a director, manager or secretary of the company, that all the requirements of this Act and the rules made thereunder in respect of registration and matters precedent or incidental thereto have been complied with.\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Declaration_from_the_Subscribers_to_the_Memorandum_Section_71c\"><\/span><strong>Declaration from the Subscribers to the Memorandum<\/strong> (Section 7(1)(c)) <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Each of the subscriber and First Directors shall file : <\/p>\n\n\n\n<p>\n  An affidavit from each of the subscribers to the memorandum and from persons named as the first directors, if any, in the articles that, \n<\/p>\n\n\n\n<p>\n  he is not convicted of any offence in connection with the promotion, formation or management of any company, <strong>or<\/strong> \n<\/p>\n\n\n\n<p>\n  that he has not been found guilty of any fraud or misfeasance <strong>or<\/strong> \n<\/p>\n\n\n\n<p>\n  of any breach of duty to any company under this Act or any previous company law during the preceding five years <strong>and<\/strong> \n<\/p>\n\n\n\n<p>\n  that all the documents filed with the Registrar for registration of the company contain information that is correct and complete and true to the best of his knowledge and belief.\n<\/p>\n\n\n\n<p>\n  With reference to incorporation of a company, affidavit has been replaced by self-declaration from the first subscriber to memorandum and first directors (Amended in 2017)\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Furnishing_verification_of_Registered_Office_Section_12\"><\/span><strong>Furnishing verification of Registered Office<\/strong> (Section 12) <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  A company shall, on and from the fifteenth day (30<sup>th<\/sup> day as per the amendment 2017) of its incorporation and at all times thereafter, have a registered office capable of receiving and acknowledging all communications and notices as may be addressed to it and, \n<\/p>\n\n\n\n<p>\n  The company shall furnish to the Registrar verification of its registered office within a period of thirty days of its incorporation in such manner as may be prescribed. \n<\/p>\n\n\n\n<p>\n  (Here the location of the registered office is finalised prior to incorporation of a company by the promoters)\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Particulars_of_Subscribers\"><\/span><strong>Particulars of Subscribers<\/strong> <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p> Section 7(1)(e) requires that, the particulars of name, including surname or family name, residential address, nationality and such other particulars of every subscriber to the memorandum along with proof of identity, as may be prescribed, and in the case of a subscriber being a body corporate, such particulars as may be prescribed. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Particulars_of_First_Directors_along_with_their_Consent_to_Act_as\"><\/span><strong>Particulars of First Directors along with their Consent to Act as <\/strong> <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>Directors<\/strong> :- Section 7(1)(f) requires the filing of the particulars of the persons mentioned in the articles as the first directors of the company, their names, including surnames or family names, the Director Identification Number, residential address, nationality and such other particulars including proof of identity as may be prescribed.\n<\/p>\n\n\n\n<p>\n  As per section 152(3), any person who wishes to be appointed as a director of a company must obtain Director Identification Number.\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Power_of_Attorney\"><\/span><strong>Power of Attorney<\/strong> :-  <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>For completion of the various formalities that are required for incorporation of a company, the promoters may appoint an attorney to carry out the instructions\/requirements stipulated by the Registrar. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Issue_of_Certificate_of_Incorporation_by_Registrar_Section_72\"><\/span><strong>Issue of Certificate of Incorporation by Registrar<\/strong> (Section 7(2)) :- <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  The Registrar on the basis of documents and information filed under shall register all the documents and information referred to in the register and issue a certificate of incorporation in the prescribed form to the effect that the proposed company is incorporated under this Act.\n<\/p>\n\n\n\n<p>   Effect of registration :-  From the date of incorporation mentioned in the certificate of incorporation, such subscribers to the memorandum and all other persons, as may, from time to time, become members of the company,  shall be a body corporate by the name contained in the memorandum, capable of exercising all the functions of an incorporated company under this Act and,   having perpetual succession and a common seal,  with power to acquire, hold and dispose of property, both movable and immovable, tangible and intangible, to contract and to sue and be sued, by the said name. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Allotment_of_Corporate_Identity_Number_Section_73\"><\/span><strong>Allotment of Corporate Identity Number<\/strong> (Section 7(3)) <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  On and from the date mentioned in the certificate of incorporation issued, the Registrar shall allot to the company a corporate identity number, which shall be a distinct identity for the company and which shall also be included in the certificate.\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_of_Incorporation_to_be_Preserved_Section_74\"><\/span><strong>Documents of Incorporation to be Preserved<\/strong> (Section 7(4)) <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>\n  The company shall maintain and preserve at its registered office copies of all documents and information as originally filed till its dissolution under this Act.\n<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Punishment_for_Furnishing_False_Information_at_the_Time_of_Incorporation\"><\/span><strong>Punishment for Furnishing False Information at the Time of Incorporation <\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The Companies Act, 2013 imposes punishment for incorporation of a company by furnishing false or incorrect information. <\/p>\n\n\n\n<p><strong>   Sec 7(5) :<\/strong> If any person furnishes any false or incorrect particulars of any information or suppresses any material information, of which he is aware in any of the documents filed with the Registrar in relation to the registration of a company, he shall be liable for action under section 447. <\/p>\n\n\n\n<p><strong>   Sec 7(6) :<\/strong> where, at any time after the incorporation of a company, it is proved that the company has been got incorporated by furnishing any false or incorrect information or representation or by suppressing any material fact or information in any of the documents or declaration filed or made for incorporating such company, or by any fraudulent action, the promoters, the persons named as the first directors of the company and the persons making declaration shall each be liable for action under section 447. <\/p>\n\n\n\n<p><em>(Section 447 : Punishment for fraud :- Without prejudice to any liability including repayment of any debt under this Act or any other law for the time being in force, any person who is found to be guilty of fraud, shall be punishable with imprisonment for a term which shall <\/em><strong><em>not be less than six months <\/em><\/strong><em>but which <\/em><strong><em>may extend to ten years<\/em><\/strong><em> and shall also be liable to <\/em><strong><em>fine<\/em><\/strong><em> which shall <\/em><strong><em>not be less than the amount involved in the fraud<\/em><\/strong><em>, but which may <\/em><strong><em>extend to three times the amount involved<\/em><\/strong><em> in the fraud: Provided that where the fraud in question involves <\/em><strong><em>public interest<\/em><\/strong><em>, the term of imprisonment shall <\/em><strong><em>not be less than three years<\/em><\/strong><em>.)<\/em>\n<\/p>\n\n\n\n<h1 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Incorporation_of_One_Person_Company\"><\/span><strong>Incorporation of One Person Company<\/strong>\n<span class=\"ez-toc-section-end\"><\/span><\/h1>\n\n\n\n<p>\n  The Companies Act, 2013 introduced a new concept and that is \n<\/p>\n\n\n\n<p>\n  \u201cOne Person Company\u201d (OPC).
